Hosting & Security Agreement

You run your business. You own the website 100%. We build it, host it, secure it, and handle routine updates each month so you never have to wrestle with site tools. This document lays out the exact arrangement. Read it before we begin.

1. The Parties

This agreement is between High Power Technical Solutions LLC (“we”, “us”) and the client business named below (“you”). Governed by the laws of the Commonwealth of Virginia. Must be authorized and executed by an owner or designated officer of the client business. We coordinate directly in person, by phone, or via email.

2. Client Owns the Site 100%

The site is yours. Your brand copy, images, logo, business data, and domain name remain your property from day one. While hosting & security is active, we maintain the infrastructure, monitor uptime, and execute your requested monthly updates. If you ever decide to transition away, you can take your files. If you elect to end hosting before completing the initial 12-month term, a file handoff fee applies ($2,500 buyout). We do not lock you in, and we never claim ownership of your business or intellectual property.

3. What Hosting & Security Includes Every Month

Host & secure is a human security watch and proactive upkeep service—not cheap commodity hosting where nobody monitors your forms or certificates. Every active plan includes:

• High-performance edge hosting, SSL certificates, and DNS assistance
• Daily site backups with 30-day retention
• Continuous uptime monitoring and routine security patches
• Working contact form delivery verification to your designated inbox
• Mobile and layout verification after any code or content modification
• Direct communication with Derek Adamson with next-business-day reply
• Discrete footer attribution: “Powered by High Power” linking to our verified card

Unused monthly maintenance hours do not roll over to subsequent billing cycles. Out-of-scope work or hours exceeding your monthly allotment are billed at our standard rate of $150/hour (billed in 30-minute increments), only upon your explicit prior approval.

4. Definition of a “Small Edit”

A small edit covers standard operational adjustments: swapping a hero photo, updating operating hours, adjusting menu items or prices, refreshing address/contact copy, or fixing a broken link. A small edit does not include building new custom sections, complete redesigns, setting up e-commerce stores, developing software tools, conducting on-site photoshoots, or executing marketing copywriting campaigns. Those are scoped and quoted as separate one-time projects.

5. Monthly Hosting & Security Tiers

Initial site builds and redesigns are quoted upfront according to project complexity (e.g., Launch / go-live: $750–$1,500; Simple business site: $1,500–$3,500; Booking / store: $4,500–$7,500). All upfront invoices must be paid in full prior to kickoff.

Footnote: Host-only hosting (hosting, SSL, and daily backups with no monthly edit hours) is available upon request at $59/mo.

6. Term, Card on File & Termination

Standard agreement term is 12 months. An active credit or debit card must be on file prior to deployment. After the initial 12 months, hosting renews month-to-month and may be cancelled with 30 days’ written notice via email to [email protected]. Prepaid monthly fees are non-refundable. If you cancel prior to the end of the 12-month term and request full export of website code and assets, a file handoff fee of $2,500 applies.

7. Authentic Reviews & Public Endorsements

We draft customer review request sequences to help you gather genuine feedback; we never invent, fake, or purchase reviews. We will not publish customer testimonials or platform rating badges (Google, Yelp, Facebook) on your website without verifiable documentation (direct link or dated client-provided screenshot). Clients agree never to request fabricated reviews or unverified endorsements.

8. Scope & Legal Boundaries

High Power Technical Solutions LLC provides web engineering, edge infrastructure, and technical upkeep. We do not provide legal, tax, medical, or formal compliance advisory. We make no unsubstantiated claims regarding HIPAA certification, military-grade clearances, or guaranteed search engine rankings. Clients bear sole legal responsibility for the legality and copyright ownership of all text, media, and materials supplied for publication.

9. Liability & Resolution

We stand behind our engineering and promptly correct our errors. Our total liability is strictly limited to the fees paid under this agreement over the preceding three months, excluding indirect, consequential, or lost revenue damages. Any unresolved disputes arising under this agreement shall be adjudicated in the appropriate state courts located within Hampton Roads, Virginia.

10. Entire Agreement

This document, together with your accepted quote and service schedule, constitutes the complete understanding between the parties. Any modification must be agreed upon in writing.
